Why Hybrid Offtake Is Different

Pure solar PPAs often price energy. Pure thermal often prices capacity and availability. Hybrids do both: daytime renewable share, night floors, contingency MW, and sometimes grid services. If the contract only pays for kWh and ignores firming obligations, the thermal layer becomes an unfunded orphan. If it only pays for capacity and ignores renewable share commitments, the PV layer becomes a political promise without cashflow.

High-Level Structure Families (Education Only)

  • Bundled hybrid PPA: one offtaker buys firm power from one plant; renewable share and thermal firming sit behind one meter and one availability regime.
  • Layered offtake: renewable energy contract plus a separate capacity/firming agreement for thermal and/or BESS — useful when regulators or offtakers split products.
  • Behind-the-meter / wheeling hybrid: industrial or mining load takes hybrid power on site or via private wire; curtailment and islanding rules dominate (see mining hybrid solar + thermal).

Clauses Buyers Should Insist Exist (High Level)

  1. Product definition: energy vs capacity vs ancillary — what is being sold each hour.
  2. Curtailment cause codes: grid-forced vs plant-forced vs offtaker-directed — ties to curtailment management with thermal firming.
  3. Availability and outage classes: planned maintenance windows for thermal, BESS, and PV without double-counting penalties.
  4. Fuel and start cost pass-through or inclusion: decide explicitly; do not leave thermal starts as goodwill.
  5. Metering and EMS evidence: one plant controller, auditable logs, change control.
  6. Interface to EPC warranties: commercial offtake must not promise performance the EPC never warranted.

Bankability Without Invented LCOE Slides

Lenders read hybrid PPAs for mismatch risk: offtake promises firm night power while the construction schedule delays thermal; or offtake promises renewable share while interconnection export caps are unsigned. Who Signs What: Single Point vs Split Vendors

Stakeholder Map Before Term Sheets

Hybrid PPAs fail when the offtaker, the grid company, the fuel supplier, and the EPC see different plants.
